These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User", "Client", or "you") and Astergo Information Technology Pvt. Ltd. ("Astergo", "we", "us", or "our") governing your access to and use of our website, products, and services.

We reserve the right to modify these Terms at any time. Continued use of our services after any modifications constitutes your acceptance of the updated Terms.

Astergo provides IT services including, but not limited to:

• Web and Mobile Application Development
• Digital Marketing and SEO
• AI and Cloud Solutions
• IT Staffing and Consulting
• SaaS Product Licensing
• UI/UX Design and Branding

The scope, deliverables, timelines, and pricing for specific projects are governed by individual Service Agreements or Statement of Work (SOW) documents agreed upon separately.

You agree to use this website only for lawful purposes and in a manner that does not:

• Infringe upon the rights of others
• Transmit spam, malware, or harmful code
• Attempt to gain unauthorised access to our systems
• Scrape, copy, or reproduce our content without permission
• Impersonate Astergo or its employees

All content on this website — including text, graphics, logos, images, code, and software — is the exclusive property of Astergo Information Technology Pvt. Ltd. and is protected by applicable intellectual property laws.

You may not reproduce, distribute, or create derivative works from our content without prior written consent from Astergo.

Work products created specifically for clients under a Service Agreement may be transferred as agreed in writing. Until full payment is received, all intellectual property rights remain with Astergo.

For project-based engagements, payment terms are specified in the respective Service Agreement. General terms:

• Invoices are due within 15 days of issue unless otherwise agreed.
• Late payments may incur interest at 2% per month on outstanding amounts.
• SaaS subscription fees are billed in advance (monthly or annually).
• Refunds are subject to the terms in the specific Service Agreement.

Both parties agree to keep confidential any proprietary information, trade secrets, or business data disclosed during the course of a project. This obligation remains in effect for 3 years after the termination of the relevant engagement.

To the maximum extent permitted by applicable law, Astergo shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of our services.

Our total liability for any claim arising under these Terms shall not exceed the amount paid by you to Astergo in the three (3) months preceding the claim.

Our website and services are provided on an "as is" and "as available" basis without any warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not guarantee that our website will be uninterrupted, error-free, or free of viruses or other harmful components.

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts in Greater Noida, Uttar Pradesh, India.

Parties shall first attempt to resolve disputes amicably through negotiation. If unresolved within 30 days, disputes may be referred to arbitration under the Arbitration and Conciliation Act, 1996.

Astergo reserves the right to terminate or suspend access to our services immediately, without prior notice, for conduct that we believe violates these Terms or is harmful to us, other users, or third parties.

Our website may contain links to third-party websites. These links are provided for convenience only. We have no control over the content of those sites and accept no responsibility for them or for any loss or damage that may arise from your use of them.
